IMPORTANT NOTICE. PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE YOU PAY FOR A HOMEPAGE. BY PAYING, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT PAY.
1. Legal notice
This website and the service described on it are provided by:
- Seller: Dmitrii Sharonov
- Registered as: autónomo in Spain
- Tax ID (NIF): Y9674448H
- Address: Calle Floridablanca, 66-68, Local 9F, 08015 Barcelona, España
- Email: kirill@flatratewebsite.com
- Trade name: Flat Rate Website
- Website: flatratewebsite.com
The work itself (the research, the page design and the emails) is done by Kirill, who works with the Seller on this service.
Price: $500 (USD) for one homepage, paid once.
In these Terms, "we", "us" and "our" mean the Seller named above. "You" means the business that buys a homepage from us.
2. What these Terms cover
These Terms govern your use of flatratewebsite.com (the "Site") and your purchase of a homepage from us (the "Service"). Our Privacy Policy and Refund Policy are part of these Terms.
3. The Service is for businesses
We sell to businesses only. By paying, you confirm that you are buying the homepage for your business, that you are at least 18 years old, and that you are allowed to agree to these Terms for that business.
4. What you get
4.1 One homepage
We make one homepage for your business. We build it from what is already on your current website: your business name, your license, your services, your service area, your contact details, and your own photos if you have them.
Nothing on the page is invented. Every fact on it comes from your website or from you. If a fact on a version is wrong, tell us before hand-over and we will correct it.
4.2 Versions first, payment second
We send you versions of your homepage before you pay anything. Looking at them costs nothing and does not oblige you to buy. If you like one, you tell us which one, and then you pay.
Before hand-over you can ask for up to two rounds of changes to the version you picked. Send each round as one list. We make them at no charge.
4.3 What is included
- One homepage for your business, in the version you picked
- A link to your Google Business profile and your Google and Yelp reviews, if you have them
- Your own job photos, if you have them. No stock photos
- Up to two rounds of changes before hand-over (see Section 4.2)
- One round of fixes in the first month after hand-over (see Section 6)
- Putting the finished page on an account in your name (see Section 6)
4.4 What is not included
- Ads of any kind
- Ongoing Google ranking work
- A monthly plan
- Edits after hand-over, beyond the one round of fixes described in section 6
- Paying for, running or looking after the account the site sits on once it is yours
5. Price and payment
5.1 Price
The price is $500, paid once. There is no monthly fee and no contract. The price you pay is the price we agreed with you in writing before you paid.
5.2 When you pay
You pay after you have picked a version and told us so in writing, and before we put the site live on your account.
5.3 How payment works
Payments are processed by Stripe (Stripe, Inc. and its affiliates, including Stripe Payments Europe, Ltd.). When you pay, you are buying from the Seller named in Section 1. Stripe processes the payment for us through its hosted checkout. Your use of the Stripe checkout is also subject to Stripe's terms and privacy policy, at https://stripe.com/legal/consumer and https://stripe.com/privacy.
You will get a receipt by email, issued through Stripe for us. We never see or store your full card number or other payment credentials. Stripe handles them.
Questions about payment, receipts or invoices go to kirill@flatratewebsite.com.
6. Hand-over
After you pay, we put the version you picked on a hosting account in your name. Hand-over is complete when the site is live on that account and you have the login.
From that moment:
- The account is yours. Any fees the hosting provider charges, now or later, are between you and the hosting provider.
- Your domain name stays yours.
- Changes to the site are yours to make, or to have someone else make, apart from the one round of fixes below
One round of fixes after hand-over. For one month after hand-over you can send us one list of fixes to the page we made: something wrong, missing or not working as it should. We make them once, at no charge. After that month, or after that one round, further changes are yours to make or to have someone else make.
If we cannot complete hand-over because we are waiting on something from you, such as access to your domain, we will tell you what we need.
7. What you give us
You confirm that the information you give us about your business is true, and that you have the right to use any photos, logos and text you send us or that we take from your own website. If a photo on your website was not taken by you or for you, tell us and we will leave it out.
8. Ownership
8.1 After you pay
Once you have paid and the site is handed over, the homepage is yours. You may use it, change it, copy it and move it wherever you like.
Some parts of the page are made by others and come with their own licences. For example, the fonts we use are published under the SIL Open Font License, which allows this use. Those licences stay in place after hand-over.
8.2 Before you pay
The versions we send you before payment remain ours. Please do not publish them or pass them to anyone else to build from.
9. Refunds
Our Refund Policy explains when you can get your money back and how to ask. In short: if you ask within 14 days of paying and the site is not yet live on your account, you get all of your money back. Refunds are made through Stripe to the card you paid with. See the full Refund Policy.
10. Use of the Site
You agree not to use the Site for anything unlawful, not to interfere with it or the servers it runs on, and not to try to access parts of it that are not public.
11. No promise of results
We do not promise that your homepage will bring you calls, jobs, sales or a higher place in Google. What we promise is the page described in Section 4.
12. Disclaimer of warranties
THE SITE AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Site or the platform your homepage sits on will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SELLER, ITS OWNERS, PARTNERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR THE SERVICE.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU ACTUALLY PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In those jurisdictions, our liability is limited to the greatest extent the law allows.
14. Indemnification
You agree to indemnify, defend and hold harmless the Seller and its owners, partners, employees and contractors from any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) that arise from the information, photos or other material you give us, from your violation of these Terms, or from your violation of anyone else's rights.
15. Third-party services
The Service relies on services run by other companies: Stripe (payments), the hosting provider of the account your homepage sits on, GitHub (hosts this Site) and Namecheap (our email). We do not control these services and are not responsible for their content, their privacy practices, or any loss caused by using them.
16. Changes to these Terms
We may change these Terms. If we do, we will post the new version on the Site with a new "Last updated" date. Your purchase is governed by the Terms that were on the Site on the day you paid.
17. Governing law and disputes
These Terms are governed by the laws of Spain, without regard to its conflict of law rules.
If a dispute comes up, we will first try to settle it by talking to you in good faith. If it cannot be settled within 30 days, it goes to the exclusive jurisdiction of the courts of Barcelona, Spain.
18. Severability
If any part of these Terms is found unenforceable or invalid, that part will be changed as little as needed to make it enforceable, and the rest of these Terms stays in effect.
19. Entire agreement
These Terms, together with the Privacy Policy and the Refund Policy, are the whole agreement between you and us about the Site and the Service. They replace anything agreed before.
